These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you" or "your") and eFile Ready Limited ("eFile Ready", "we", "us" or "our"), a company registered in England and Wales, governing your access to and use of the eFile Ready website and its associated services (together, the "Services"). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2.1 These Terms apply to and govern your use of the Website and the Services. References to 'you' and 'your' include the account Administrator, any Authorised User, the organisation you represent, and any individual accessing the Services under your account.

2.2 By registering for an account, accessing the Website, or using the Services, you agree to these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.

2.3 eFile Ready reserves the right to update or modify these Terms at any time. Where changes are material, we will notify you by posting an updated version on the Website with a revised 'Last Updated' date. Continued use of the Services after such notification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2.4 If you disagree with any changes to these Terms, you must stop using the Services and provide written notice to us by registered post to the address published on the Website.

3. Privacy and Data Protection

3.1 eFile Ready processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the terms of the Privacy Policy.

3.2 Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as amended or replaced from time to time.

3.3 Where eFile Ready processes personal data on your behalf as a data processor, it will do so only in accordance with your documented instructions and the terms of any Data Processing Agreement entered into between the parties.

3.4 You, as the data controller, are responsible for ensuring you have a lawful basis for processing the personal data of your employees and clients before entering such data into the Services, including obtaining any required consents.

4. Description of Services

4.1 The Website provides a platform enabling you to electronically file documents with, and download notices from, HMRC. The Services are provided on an 'as is' and 'as available' basis.

4.2 The e-filing services currently include, but are not limited to, submission of the following forms and returns:

4.4 We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. Where reasonably practicable, we will provide advance notice of material changes.

5. How the Services Are Provided

5.1 E-Filing Services

The e-filing process involves the following steps:

  1. We provide a pre-defined spreadsheet format for your submission data.
  2. You upload your data via CSV file, which is validated against HMRC schema and applicable Business Rules.
  3. We notify you of any errors or non-compliance identified in your uploaded data.
  4. You correct and resubmit your data, which is further validated prior to conversion.
  5. We convert your CSV file to the required XML format and transmit it to HMRC.
  6. We provide you with confirmation of successful submission from HMRC.

5.2 Downloading Services

The downloading services allow you to retrieve current and historical notices issued to your organisation by HMRC. Where applicable, notices may be converted to CSV format for download into your own systems.

5.3 Data Retention

Data uploaded and e-filed to, or downloaded from, HMRC may be retained in our systems for record-keeping and evidential purposes and cannot be deleted once submitted. If you wish to restrict access to retained data, you must disable the relevant account access rights. You are solely responsible for managing access permissions within your account.

If you enter your HMRC e-file User ID and Password into the Website, you confirm that you are an authorised person to do so and that you are instructing eFile Ready to automate the applicable e-filing and downloading functions. It is your responsibility to remove your HMRC credentials from the Website if you wish to withdraw from automated processing.

6. No Advisory Services

6.1 eFile Ready provides only the technical facilities described in Clause 4. We do not provide tax advice, legal advice, financial advice, payroll advice, or advice on the use of HMRC systems. Nothing on the Website, and nothing communicated by our staff, should be construed as professional advice of any kind.

6.2 Any statements made by eFile Ready staff, whether verbally or in writing, are the personal views of that individual only and do not constitute advice by or on behalf of eFile Ready. You should not rely on any such statements as the basis for any decision.

6.3 You agree to seek independent qualified legal, tax, or IT advice before making any decision that may be influenced by your use of the Services. You shall indemnify and hold harmless eFile Ready in respect of any loss, damage, or liability arising from your reliance on any statement made by eFile Ready or its staff.

7. Customer Responsibilities: Data Accuracy and Security

7.1 You accept full responsibility for the accuracy, completeness, and legality of all Customer Data uploaded to or processed through the Services. eFile Ready has no ability to verify the authority or quality of data inputs and accepts no liability for errors, inaccuracies, omissions, or ambiguities in your data.

7.2 eFile Ready is not a party to any transaction between you, your Authorised Users, your employees, your clients, HMRC, or any other third party. Our Services do not extend to HMRC investigations, payroll audits, or enquiries of any kind.

7.3 For security and quality-assurance purposes, eFile Ready reserves the right to monitor data entered or uploaded to the Services, including placing data in a temporary holding area for virus scanning and compliance checking prior to processing or transmission to HMRC or Companies House.

8. Account Security and Sign-In Credentials

8.1 You are responsible for maintaining the confidentiality of your Sign-In ID, Password, and Pattern Word (collectively, "Credentials"). You must not share, disclose, or record your Credentials in any manner that could allow an unauthorised person to access your account.

8.2 You must change your Password regularly and must not include your Password or Pattern Word in any email or letter. eFile Ready will never ask you to provide your Password or Pattern Word by phone, email, or any other communication channel.

8.3 You must notify your System Administrator and contact us in writing immediately if you suspect that your Credentials have been compromised or that your account has been accessed without authorisation.

8.4 For data security reasons, eFile Ready is not obliged to respond to any verbal or written requests to recover forgotten Credentials. Credential recovery is available exclusively through the 'Forgot Sign In' function on the Website.

8.5 eFile Ready accepts no responsibility for any security breach resulting from your failure to comply with the obligations set out in this Clause 8.

9. Authorised Users and Clients

9.1 Before entering the personal data of any employee or client into the Services, you must obtain their prior informed consent in accordance with applicable data protection law.

9.2 You may grant Authorised Users access to view and print data held within your account. You accept full responsibility for the conduct of all Authorised Users and their compliance with these Terms.

9.3 Before appointing any Authorised User, you must verify their identity and credentials. You accept sole responsibility for any additional user you appoint and acknowledge that eFile Ready bears no liability in connection with the appointment or conduct of Authorised Users.

9.4 You agree to indemnify eFile Ready against any loss, damage, or liability arising from any unauthorised entry or use of employee or client data by you or any Authorised User.

10. Support Requests

10.1 By enabling the Support Request function within your account, you grant the eFile Ready support team the same access rights as you to your account, including access to data relating to your employees, clients, and their employees. This access may be provided from any location.

10.2 You are solely responsible for enabling and disabling the Support Request function. eFile Ready will not automatically disable it, and we assume no responsibility for any continued access following the resolution of a support issue.

10.3 Before enabling the Support Request function, you must obtain the consent of all relevant parties whose data may be accessed, including employees and clients. By enabling this function, you confirm that such consent has been obtained and you accept full responsibility for any resulting access to personal data.

11. Correspondence and Communications

11.1 Internet communications, including email, are inherently insecure. eFile Ready accepts no legal responsibility for the content of messages transmitted over the internet and shall not be liable for any security breach arising from internet communications.

11.2 You agree not to send eFile Ready any email containing attached files or hyperlinks, as these may carry viruses. Emails containing attachments will be automatically rejected. All email communications must use the pre-defined format specified on the Website.

11.3 Telephone calls made to or from eFile Ready may be recorded for quality control and training purposes. Call recordings may be disclosed in the event of a dispute, provided they do not contain personal confidential information.

11.4 For formal or legal communications, including complaints, notices of termination, and requests to withdraw from the Services, all correspondence must be submitted in writing by registered post to the address published on the Website. eFile Ready does not accept legal notices by email or fax.

12. Fees and Charges

12.1 Use of the Services is subject to fees and charges as published on the Website from time to time, or as otherwise agreed in writing between the parties. In the absence of a written agreement, fees will be set at eFile Ready's discretion.

12.2 eFile Ready reserves the right to change its published fees at any time without prior notice. Any fee waivers or discounts will only be valid if confirmed to you in writing by eFile Ready, and shall not constitute a precedent for any future waiver or discount.

Where a fixed charge arrangement has been agreed in writing and reflected in your invoice, the following terms shall apply:

13. Invoicing and Payment

13.1 Unless otherwise stated, all fees are payable in pounds sterling and are subject to VAT at the applicable rate. Invoices may be issued electronically by email or made available for download from within the Services, and shall constitute official invoices of eFile Ready.

13.2 Payment is due before the date specified on each invoice. Our standard credit term is 30 days from the invoice date, unless otherwise agreed in writing.

13.3 If payment is not received by the due date, eFile Ready reserves the right to:

13.4 If you cease using the Services, you remain liable for all outstanding invoices up to the date on which termination takes effect in accordance with Clause 14.

14. Termination

14.1 Either party may terminate these Terms in accordance with the provisions of this Clause.

14.2 You may terminate your account by giving eFile Ready a minimum of six (6) months' written notice by email to sales@efileready.com. Notice periods shorter than six months will not be accepted.

14.3 eFile Ready may, at its sole discretion, suspend or terminate your access to the Services at any time, with or without notice, in the event of:

14.4 Upon termination, you will no longer have access to your account. eFile Ready shall not be liable for any loss or inconvenience arising from termination, whether by you or by us. No compensation of any kind will be payable in connection with termination, except as expressly required by law.

15. Inactive Accounts and Account Closure

15.1 Accounts that have not been active for more than twelve (12) months will be moved to 'inactive' status and placed in cold storage. An account is considered active only where the account holder has filed a valid Final Submission for the Tax Year (FSY). The charge to reactivate an inactive account is £200 (plus VAT).

15.2 You have the right to close your account at any time by completing the account closure process within the Website. Account closure is permanent and irreversible. Upon closure, all associated data - including that of any Authorised Users, clients, and employees - will be permanently inaccessible.

15.3 For security reasons, eFile Ready will not close accounts on your behalf upon receipt of an email, phone call, or other external communication. Requests made through such channels will not be actioned. You must complete the account closure process yourself through the Website.

15.4 If you are an employee who objects to this process, you may request that your employer cease issuing ePayslips and other statutory documents via the Services and instead provide paper copies.

16. Security and Safe Use

16.1 You must not leave your computer unattended while logged in to the Services. You must sign out and close all browser windows when you have finished using the Services, particularly when using a shared or public computer.

16.2 You must keep your registered postal address and identity details up to date within the Website. In the event that sign-in details need to be communicated to you by post, they will be sent to the address registered on your account, using standard postage. eFile Ready accepts no responsibility for postal delays or failures.

16.3 All downloads of material from the Website are undertaken at your own risk. You are solely responsible for implementing appropriate security measures, including virus protection, on your own systems.

17. Limitation of Liability

17.1 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

17.2 Subject to Clause 17.1, eFile Ready shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:

17.3 Where liability cannot be excluded under applicable law, eFile Ready's total aggregate liability to you in respect of all claims under or in connection with these Terms shall not exceed the total fees actually paid by you to eFile Ready in the twelve (12) months preceding the event giving rise to the claim.

17.4 Any decision by eFile Ready to pay compensation to a Customer is made solely at eFile Ready's absolute discretion, is made on a one-off basis, and shall not constitute a precedent for any further payment. Disputes relating to compensation are not subject to arbitration.

17.5 eFile Ready does not warrant that the Website or Services will be uninterrupted, error-free, or free from viruses or other harmful components. The Services are provided on an 'as is' and 'as available' basis.

17.6 eFile Ready shall not be liable for any failure to perform its obligations under these Terms where such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, industrial action, failure of third-party services, or government action.

18. Third-Party Websites and Content

18.1 The Website may contain links to third-party websites not operated by eFile Ready. We do not endorse, control, or accept responsibility for the content, privacy practices, or accuracy of any third-party website. Access to linked websites is at your own risk and subject to the terms of those third parties.

18.2 The Website may also display content submitted by third parties. eFile Ready makes no representations or warranties regarding, and accepts no liability for, the accuracy, legality, or appropriateness of any such third-party content.

19. Advertising

19.1 eFile Ready reserves the right to display third-party advertisements on the Website at any time. Any dealings between you and an advertiser or merchant are solely between you and that party. eFile Ready accepts no responsibility or liability for any loss arising from such dealings or from the presence of third-party advertisements on the Website.

20. Third-Party Rights

20.1 If you have any claim against another user arising from their use of the Services, you agree to pursue that claim independently and without recourse to eFile Ready, and you release eFile Ready from all liability in connection with such claims.

20.2 Except as expressly stated in these Terms, nothing in these Terms confers or purports to confer any benefit on any person who is not a party to it under the Contracts (Rights of Third Parties) Act 1999.

21. Intellectual Property and Licensing

21.1 eFile Ready is the licensed operator of the Website and its Services. The underlying software, including but not limited to the business logic, source code, calculation engine, e-filing system, downloading system, and multi-user system, is the intellectual property of INTERSOFTWARE SOLUTIONS LIMITED (Company No. 03306112) (the 'Licensor'), which has granted eFile Ready a non-exclusive licence to operate the Services.

21.2 INTERSOFTWARE SOLUTIONS LIMITED is not a party to any agreement between eFile Ready and any user of the Services. The Licensor provides no warranty, express or implied, in connection with the Website or Services, to the maximum extent permitted by law.

21.3 Copyright in the software is owned by INTERSOFTWARE SOLUTIONS LIMITED © 2005. All rights reserved. Reproduction, copying, modification, decompilation, reverse engineering, hiring, public performance, or transmission of the software, in whole or in part, is strictly prohibited without the prior written consent of the Licensor, except to the extent expressly permitted by applicable law.

21.4 The homepage design and branding of the Website are the copyright of eFile Ready Limited. Third-party trade marks and logos displayed on the Website are the property of their respective owners and are used with permission.

21.5 If any customisation or modification of the software is commissioned, copyright in the modified software shall vest in INTERSOFTWARE SOLUTIONS LIMITED, which shall grant you a non-exclusive licence to use it upon payment of the agreed fee. All software is licensed, not sold.

21.6 The ownership of the copyright in the software may be transferred to a third party at any time at the Licensor's discretion and without prior notice. eFile Ready will use reasonable efforts to inform you of any such transfer that may affect the Services.

21.7 No third party may link to the Website without the prior written consent of eFile Ready.

22. General Provisions

22.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and eFile Ready relating to the Services and supersede all prior oral or written communications, representations, or understandings.

22.2 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

22.3 Waiver. No failure or delay by eFile Ready in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No waiver of any breach of these Terms shall be construed as a waiver of any subsequent breach.

22.4 Governing Law. These Terms shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms.

22.5 Notices. All formal notices under these Terms must be in writing. Notices from you to eFile Ready must be sent by registered post to the address published on the Website. eFile Ready may send notices to you by email to the address registered on your account.

This document sets out how we handle your data. You should read it in conjunction with our Terms of Service, of which this Privacy Policy forms part. At eFile Ready Limited ("eFileReady"), we are committed to protecting your privacy. We recognise that your data is of a highly sensitive nature and should be kept confidential at all times. eFile Ready Limited collects personally identifying information when you sign up with us. We will ask for your full name, address, e-mail address, driving license notice and other information we may decide from time to time. Once you sign up with eFile Ready Limited and sign in to our services, you are not anonymous to us.

Our Website acts as a venue where you can make use of our facilities for e-Filing your documents to Her Majesties Revenue and Customs ("HMRC") and for downloading your notices from the HMRC, at the same time you may make use of the Website to store, to view and to print out the documents relating to the e-Filing and downloading.

You understand that any data you enter on our Website and its facilities is collected for the purposes mainly of e-Filing and downloading activities and their associated activities, paid or unpaid. This data will include, but is not restricted to, your employees and clients personal data such as, name, address, date of birth, National Insurance number, tax code and pay history etc.

You also understand that we may use the data given by you for some general purposes such as to customise the advertising and content you see, based on the details given by you and your activity on our Website, to fulfill your requests for certain products and services, and to contact you about specials, new products and for customer feedback.

We undertake to design our system in such a way to minimise the use of personal data. You acknowledge that eFile Ready Limited has the right to scan the user database when required for administrative, advice and invoicing purposes whenever eFile Ready Limited deems it necessary.

D. Consent for Data Collection and Use
You undertake to seek the consent of your employees and your clients before entering any of their personal data on the eFile Ready Limited Website facilities. You will also undertake to inform all those employees, and clients who consent to having their personal data stored on the eFile Ready Limited facilities, exactly what data will be stored, and for what purposes it is stored.

E. Disclosure and sharing of your Data
We undertake not to sell, trade, rent or share any personally identifiable information to others. We will send your personally identifiable information to others only if;

- We have obtained your express consent to share the information.
- We need to share your information to provide the service or product you have requested, paid or unpaid.
- We need to send the information to others who work on behalf of eFile Ready Limited to provide a service or product to you.
- Our company is subject to a take-over or merger in which case the information will be disclosed to the new owners on the understanding that they will protect the information and only use the information in substantially the same way as previously.

F. Reviewing your Data
You acknowledge that eFileReady will check the data you upload to the eFileReady Website to see whether or not its format complies with the HMRC's published Schema validation and Business Rules as interpreted by us.

You further acknowledge that apart from the validation checks, eFile Ready Limited does not monitor, edit or review whether the data provided by you has been correctly calculated. We have no control over the authority, the quality or safety of the data input. You and you alone are responsible for the accuracy and completeness of your records.

You can edit your stored data at any time by signing in to your account and making the necessary changes. You can also request the deletion of your account by contacting eFile Ready Limited in writing by registered post to the address given on our Website. We undertake to stop processing your data upon receiving notification in writing and sent to us by registered post of the your objection. We reserve the right to regularly delete any data that we deem is out of date or no longer required.

G. Confidentiality and Protecting your Data
We are fully committed to taking reasonable steps in the circumstances applicable to us to protect the security and privacy of any information or data submitted to our Website and its facilities. We undertake to adopt appropriate physical, electronic and procedural measures to protect personal data collected or stored on our Website and its facilities. We also use the appropriate Internet security protocol that we deem suitable to create a protected connection between you and our servers so that your data can be confidentially sent and retrieved.

We limit access to personal information about you to eFile Ready Limited employees who we believe reasonably need to come into contact with that information to provide products or services to you or in order to do their jobs.

Whilst we have security measures in place to protect your data, it remains your responsibility to keep your sign in details secret and to sign off from the eFileReady Website when you are not using it.

H. Use of IP Addresses and Cookies
IP addresses: for security purposes eFile Ready Limited automatically records the IP address of your computer each time you visit our Website.

Cookies: Cookies are small text files that we can transfer to your computer through your Web browser to enable our systems to 'remember' who you are and to provide personalised features. eFile Ready Limited may set and access cookies on your computer. For example, a cookie would be used if you wish your computer to recall your sign in ID each time you visit our Website. You may at any time turn off cookies in your browser.

eFile Ready Limited does allow other companies that have advertisements on our Website to set and access their cookies on your computer. Other companies' use of their cookies is subject to their own privacy policies. Advertisers or other third parties do not have access to eFileReady cookies.

Our site contains links to other web sites. eFile Ready Limited is not responsible for the privacy practices, or the content, of these web sites. We recommend that you examine the privacy policies of these third party web sites to understand their procedures for collecting, using, and disclosing your information.

J. Changes to our Privacy Policy
eFile Ready Limited reserves the right to change the content of this Privacy Policy at anytime without prior notice. If we decide to change our Privacy Policy, we undertake to post any changes on this page so you are always aware of what information we collect, how we use it, and under what circumstances we disclose it. Therefore, you should check the Privacy Policy each and every time to decide whether you want to continue your account and your access to the Website and its facilities.

K. Questions, Suggestions and Communications.
